Partnership Agreement for The Child Neurology Foundation’s Family Support Training 101 and/or 201

This Partnership Agreement is made and entered into as of date of purchase (“Effective Date”) of the Family Support Training 101 and/or 201 fee(s) on the Teachable platform between the Child Neurology Foundation (“CNF”), located at 601 W Short Street, Lexington, KY 40508 and purchaser (“Partner”). CNF and Partner collectively referred to herein as the “Parties”.

Background: The CNF Family Support Training is intended to provide those who have lived through a similar experience a framework for assisting others through the social and emotional challenges of diagnosis, treatment, and management in the child neurology community. More background provided in Appendix A for the 101 course and/or Appendix B for the 201 course.

The purpose of this agreement is to outline the expectations of the Child Neurology Foundation and the Partner for participating in the training outlined in Appendix A and/or Appendix B.

Schedule: The CNF Family Support Training will be provided to Partner at the next scheduled training date. The CNF Family Support Training continues for six weeks, with the final evaluation (“Evaluation”) provided at the end of the seventh week.

Agreement:

  • Scope of Services
    • CNF shall provide such services and materials as mutually agreed upon by the Parties set forth in the Statement of Work (“SOW”) attached to this Agreement (Appendix A and/or Appendix B). The services agreed upon by the Parties and outlined in the SOW are referred to herein as the “Services.” Should the Parties decide to alter, amend, supplement, or replace the initial SOW, or add separate, additional SOWs, each additional SOW shall become effective, incorporated into, and form a part of this Agreement when duly executed by the Parties. If there is a conflict between this Agreement and any SOW with respect to the Services provided by CNF, the terms of the SOW shall govern the provision of the services involved.
  • Terms of Payment:
    • The fee was processed via Stripe on the Teachable platform.
    • The course fee is nonrefundable and nontransferable.
  • Term and Termination:
    • The term of this Agreement shall commence on the Effective Date and shall continue until the Evaluation is provided to the Partner unless earlier terminated in accordance with Section (b) below (the “Term”).
    • Either party may terminate this Agreement, effective upon written notice to the other party (the “Defaulting Party”), if the Defaulting Party:
      • Materially breaches this Agreement, and such breach is incapable of cure, or with respect to a material breach capable of cure, the Defaulting Party does not cure such breach within 15 days after receipt of written notice of such breach;
      • Is dissolved or liquidated or takes any corporate action for such purpose.

Responsibilities of the Parties:

  • The Partner shall:
    • Designate a primary point of contact for communication for the Family Support Training;
    • Share trainee contact information with CNF for registration purposes only;
  • The Child Neurology Foundation shall:
    • Designate one of its employees to serve as primary point of contact with respect to this agreement;
    • Offer 1 on 1 staff support for matters related to the Family Support Training;
    • Provide the Partner materials and staff support.
  • Confidential Information.
    • The parties may exchange confidential information during the term of this agreement. A party will not disclose the other party’s proprietary or confidential information or use it for any purpose other than to perform the obligations under this agreement without receiving prior written permission from the party that owns the confidential information. For purposes of this Agreement, “proprietary or confidential information” does not include any information: (I) in the public domain; (ii) received by or disclosed to the recipient by third parties without violation of any confidentiality obligation to the disclosing party; or (iii) development or acquired by the recipient independent of the disclosing party which development or creation is documented in writing.
  • Intellectual Property. All intellectual property rights, including copyrights, in and to all documents, product and other materials prepared by the CNF and delivered to the Partner pursuant to the terms of this Agreement, including any items identified in the SOW shall be owned by CNF.
  • Advertising. CNF shall be permitted generally to identify Partner’s organization (by name and logo) as a participant in CNF’s Family Support Training on the CNF website and newsletter.
  • Indemnification.
    • CNF will indemnify partner from and against all losses, expenses, damages, or liabilities (including the prevailing party’s reasonable attorneys’ fees and expenses) incurred by Partner that arise from third-party claims in connection with (i) the negligence or misconduct of the CNF, its agents, contractors, or employees under this agreement; or (ii) any breach of the covenants, representations, or warranties of CNF made under this agreement.
    • Partner will indemnify CNF from and against all losses, expenses, damages, or liabilities (including the prevailing party’s reasonable attorneys’ fees and expenses) incurred by CNF that arise from third-party claims in connection with (i) the negligence or misconduct of Partner, its agents, contractors, or employees under this agreement; or (ii) any breach of the covenants, representations, or warranties of Partner made under this agreement.
  • General Provisions
    • Amendments: The parties may not amend or modify this agreement except by a writing signed by the parties and identified as an amendment to this agreement.
    • Assignment: Neither party may assign this agreement without the prior written consent of the other party.
    • No Third-Party Beneficiaries: This agreement benefits solely the parties in this Agreement and their respective permitted successors and assigns, and nothing in this Agreement, express or implied, confers on any other person any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of this Agreement.
    • Binding Effect: This agreement is binding upon and inures to the benefit of the parties, their successors, and assigns.
    • Waiver: The waiver or failure of either party to exercise in any respect any right provided for in this agreement is not a waiver of any further right under this agreement.
    • Applicable Law: The laws of Kentucky govern this agreement. Sole venue and jurisdiction for any proceedings under this agreement will be in Lexington, Kentucky.
    • Alternative Dispute Resolution: The parties shall attempt, in good faith, for a period of at least thirty days, to resolve any controversy, claim or dispute arising out of our relating to this Agreement through negotiations. In the event that the negotiations are unsuccessful, the controversy, claim or dispute shall be settled by binding arbitration before a single arbitrator in accordance with the then current CPR Institute Dispute Resolution Rules for Non-Administered Arbitration. The arbitration shall be governed by the U.S. Federal Arbitration Act, 9 U.S.C. § 1-16, and conducted in Lexington, Kentucky, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either party may seek any interim or preliminary relief from a court of competent jurisdiction in Lexington, Kentucky to protect the rights or property of such party pending the completion of arbitration.
    • Entire Agreement: This agreement is the entire agreement between the parties and supersedes all past and contemporaneous agreements, promises, and understandings, whether oral or written, between the parties.
    • Severability: If any provision of this agreement is invalid or unenforceable, the remainder of this agreement remains in full force and effect as if the invalid or unenforceable provision had never been a part of the agreement.
    • Survival: Sections 6 (Confidential Information), 9 (Indemnification), and 10(e) (Governing Law) survive termination of this agreement.
    • Notices: Any notices under this Agreement shall be delivered to the receiving party by hand delivery, email, certified or registered US mail, or express delivery service at the address set forth below, or to such other address as a party may designate in a written notice hereunder:

Appendix A

 101- Family Support Training- Information and Format Options for Patient Advocacy Organizations

 Scope: The CNF Family Support Training is intended to provide those who have lived through a similar experience a framework for assisting others through the social and emotional challenges of diagnosis, treatment, and management in the child neurology community.

The training consists of three modules designed to address the individual and then address how the individual can best serve others. Participants will be given an account through Teachable to watch videos, and review content prior to discussing it during virtual interactive sessions.

Out of Scope: This training is not intended to replace a formal examination-based certification for Family Support Specialists as requirements vary by state. This training is intended to share best practices for family support as identified by the Child Neurology Foundation. No formal certification will be provided; but participants will receive a certificate of completion.

Goals of the Training:

Provide a solid foundation in the basics of family support by sharing:

  • best practices – giving family support specialists the information they need to provide high quality support to their community
  • common language – the basis for ongoing conversation, education, and growth in the field of caregiver support serving across disease states.
  • community of practice – gives participants a space for shared experience and encouragement in the future.

Topics Covered: Family Support 101, Facilitation, Listening, Self-Care, Grief, Empathy, Boundaries, Cultural Awareness, School Relationships, and Connecting to Resources

Training Objectives – Participants will:

  • Understand best practices and strategies for providing peer-to-peer support
  • Be able to apply effective communication strategies for administering appropriate social and emotional support
  • Support and encourage others providing family support

Appendix B

 201-Family Support Training- Information and Format Options for Patient Advocacy Organizations

 Scope: The CNF 201-Family Support Training is intended to dive deeper into providing support for families with children with complex healthcare needs. In 201, participants will learn how to manage stress in all areas of life and support others in these stressful situations. To allow for more flexibility for participants this training will be 100% virtual. Participants must already have completed the 101 training.

The training consists of three modules designed to address the individual and then address how the individual can best serve others. Participants will be given an account through Teachable to watch videos, and review content prior to discussing it during virtual interactive sessions.

Out of Scope: This training is not intended to replace a formal examination-based certification for Family Support Specialists as requirements vary by state. This training is intended to share best practices for family support as identified by the Child Neurology Foundation. No formal certification will be provided; but participants will receive a certificate of completion.

Goals of the Training:

Dive deeper into the complexities of family support by strengthening the ability to manage one’s:

  • stress responses – participants will learn how to manage stress responses and separate from others’ trauma.
  • changing mindset – participants will learn how to persist through school challenges and support siblings of children with complex healthcare needs.
  • healing – participants will learn how to use community as a source of strength and will learn how to tell their story to build resilience.

Topics Covered: Managing Stress, Understanding Our Stress Response, Separating from Others’ Trauma, Changing Our Mindset, The Shift and Persist Mindset for School, Supporting Siblings with a “Bigger Than Self” Mindset, Healing, Ensuring Marriages/Community are a Source of Strength for the Journey, Telling Your Story to Heal and Build Resilience for the Future
